INTRODUCTION

1. These Terms of Use refer to access to the website of SOMOS - Gestão de Ações Coletivas (the trading name of MG Gestões e Serviços Administrativos S.A. - “Somos”), a legal entity governed by private law registered with the CNPJ under No. 26.625.294/0001-30, and use of all the services included therein.

2. Use of this website and its associated services is conditional on acceptance of the associated terms and policies. Users must read these terms and policies, ensure that they have understood them, agree to all the conditions set out in the Terms of Use and undertake to comply with them.

3. By using the website or any of its services, the User expresses their free, express and unequivocal agreement with the content of these Terms of Use and will be legally bound by all the conditions set out herein.

LEGAL FRAMEWORK

4. The legal framework applicable to the services on this website includes - but is not limited to - the following legislative and regulatory acts:

4.1. Law No. 12.965, of 23 April 2014 - Marco Civil da Internet - Establishes principles, guarantees, rights and duties for the use of the Internet in Brazil.

4.2. Law No. 13.709, of 14 August 2018 - General Personal Data Protection Law (LGPD) - Provides for the processing of personal data, including in digital media, by natural persons or legal entities governed by public or private law, with the aim of protecting the fundamental rights of freedom and privacy and the free development of the personality of natural persons.

4.3. Law No. 8.078, of 11 September 1990 - Consumer Protection Code (CDC) - Establishes rules for consumer protection and defence, of public order and social interest.

REQUIREMENTS

5. The use of any service on this website must only be carried out by duly authorised representatives of the Claimant/Applicant company or by individuals capable of entering into legally valid contracts under current legislation, and it is forbidden to deal with individuals under the age of 18 who are not emancipated.

INTELLECTUAL PROPERTY

6. By attaching a document or providing any information through any of the services on this website, the User guarantees that they are authorised to use and share them with us. Somos presumes and trusts in the good faith of the User, who assumes responsibility for any violation of copyright, trade secrets or any other form of intellectual property.

7. Somos does not claim any right relating to the intellectual property of the original documents or information sent via any service on this website. All rights relating to such documents or information shall remain the intellectual property of the User or any third party to whom they are attributed.

8. The logo, name and content of the Somos website are the exclusive property of Somos. Reproduction of the content described above is prohibited, except with prior written authorisation or if it is intended for exclusively personal use and under no circumstances do users acquire any rights over this content.

USER RESPONSIBILITIES

9. The User is responsible for the accuracy and veracity of any data provided when using the services of the website and recognises that the inconsistency of such data may make it impossible to use these services.

10. The User is responsible for compensating any and all damages, direct or indirect (including arising from the violation of any rights of other Users and third parties, including intellectual property rights, confidentiality and personality rights), that are caused to Somos, any other User, or any third party, including as a result of non-compliance with the provisions of these Terms of Use and Somos’ Privacy Policy.

11. The User must not interfere with, compromise or interrupt the service. The User must also not interfere with, compromise or interrupt servers or networks connected to the service, including by transmitting any malware, worm, virus, spyware, or any other code of a destructive or disruptive nature. The User may not insert content or codes, or otherwise alter or interfere with the way the service page is displayed or processed on the User’s device.

12. The User undertakes not to share any document that is illegal, abusive, offensive, defamatory, libellous, fraudulent, threatening or otherwise objectionable and not to use the services offered for any unlawful purpose.

13. The User agrees that he/she will not use robots, scanning and data storage systems (such as “spiders” or “scrapers”), hidden links or any other shady feature, tool, programme, algorithm or automatic data collector/extractor method to access, acquire, copy or monitor the service, without express written permission from Somos.

SOMOS’ RESPONSIBILITIES

14. Somos, when in the role of controller or operator of users’ personal information, must comply with all legislation inherent to the correct use of the User’s personal data in order to preserve the privacy of the data used on the platform.

15. Under no circumstances will Somos and its employees be liable for any direct, indirect, consequential, special or unforeseen damages or Penalty; Fine caused in terms of liability, whether contractual, objective or civil (including negligence or other), arising in any way from the use of the services, even if the possibility of such damages has been advised.

16. Somos undertakes to preserve the functionality of the service or application, using a layout that respects usability and navigability, facilitating browsing wherever possible, and displaying the functionalities in a complete, precise and sufficient manner, so that the operations carried out in the service are clear.

17. Somos can NOT be held responsible for the following:

17.1. equipment infected or hacked by attackers;

17.2. broken equipment at the time of consumption of services;

17.3. protection of the user's access device to the service;

17.4. protection of information based on users' access devices;

17.5. abuse of users' access devices;

17.6. clandestine monitoring of users' access devices;

17.7. vulnerabilities or instabilities in users' systems;

17.8. insecure perimeter.

FINAL PROVISIONS

18. Somos may change these Terms of Use and its Privacy Policy at any time without prior notice. By using this form, you agree to be bound by the most up-to-date version of these Terms of Use and the Privacy Policy.

19. This Policy will be interpreted in accordance with Brazilian federal law, regardless of any conflict with State or other country law, and the São Paulo/SP jurisdiction is competent to resolve any conflicts arising from these Terms of Use and the Privacy Policy.
